Company Name
The company name must be in either Traditional Chinese or English.
Chinese names must end with "有限公司," while English names must end with "Limited."
The company name must not duplicate any existing company names, and sensitive or illegal words should be avoided.
Directors & Shareholders
A minimum of one individual is required for registration, who must be at least 18 years old. There are no nationality restrictions.
The shareholder and director can be the same person. If there are more than two shareholders, the shareholding proportions of each must be provided.
When registering, valid identification proof (ID card or passport) and residential address proof of the directors and shareholders must be submitted.
Company Secretary
As stipulated by Hong Kong’s Companies Ordinance, a limited company must appoint a company secretary responsible for handling communication with the government.
The company secretary can be a professional service provider with a trust or company service provider license (e.g.Oceanus Strategic) or a Hong Kong permanent resident (preferably with relevant knowledge of company secretary duties).
Registered Capital
There is no upper limit on registered capital, and no capital verification is required.
A stamp duty of 0.2% will be charged for any future shareholding changes.
Business Scope
Hong Kong companies generally face no strict restrictions on their business scope as long as it does not involve prohibited activities.
According to the Significant Controllers Register (SCR) regulations, the business scope must be specified on the Business Registration Certificate (BR), such as trading, technical consulting, etc., which is comparatively more flexible than in mainland China.
Registered Address
A company must provide a physical address in Hong Kong (can be provided by Oceanus Strategic) and cannot use a P.O. box.
The address must be able to receive various government correspondence and notifications.
Registration Fees (Government Fees)
Company Registration Fee: HK$1,720 (includes the Certificate of Incorporation, CI).
Business Registration Fee: HK$2,200 (includes the Business Registration Certificate, BR).

Annual Return: Within 42 days of the anniversary of the company’s incorporation, the annual return form (NAR1) must be submitted, with a fee of HK$105.
Accounting, Auditing & Tax Filing
The first tax filing is due 18 months after the company’s incorporation, and subsequent filings are required annually.
Companies must maintain proper accounting records and have them audited by a licensed accountant.
